CAC Directs Companies to File Annual Returns to Avoid Delisting

The Corporate Affairs Commission (CAC) has directed companies with outstanding statutory filings to regularise their records within 90 days or face removal from the register.

The Commission, in a public notice issued on July 15, 2026, said it had commenced another round of striking off companies from its register in line with Sections 692 (3) and (4) of the Companies and Allied Matters Act (CAMA), 2020.

According to the CAC, about 100,000 companies have been listed for possible delisting due to non-compliance with filing requirements, including annual returns and Persons with Significant Control (PSC) or Beneficial Ownership information.

“The affected companies are hereby advised to take steps to file all outstanding Annual Returns, including Persons with Significant Control/Beneficial Ownership information, and regularise their records within ninety (90) days of this notice,” the Commission stated.

The CAC said the list of affected companies has been published on its official website, urging business owners and stakeholders to check their status and take immediate steps to comply.

The Commission also directed affected companies to submit evidence of compliance through its designated email address after completing the required filings.

It warned that companies that fail to regularise their records within the stipulated period would be struck off the register without further notice.

“Companies that fail to comply within the stipulated timeline shall be struck off the Register without further notice,” the notice added.

The CAC reaffirmed its commitment to maintaining an up-to-date corporate register and providing efficient services to businesses operating in the country.
